How the referral relationship works
Adam takes accountant referrals on a no-commercial-reciprocity basis. Illinois RPC 7.2 prohibits attorney referral fees in most contexts. Adam doesn't pay for referrals and doesn't expect accountants to send him business in exchange for his referring tax-preparation clients to them.
What Adam appreciates from accountant partners: clear communication on shared clients, respect for the attorney-client privilege boundary, and mutual recognition that legal interpretation of business documents is the attorney's role — not the accountant's.
UPL boundary — what accountants should not interpret
Accountants encounter legal documents constantly — operating agreements, contracts, deeds, will provisions, trust language. Interpreting these documents for clients can cross into the unauthorized practice of law. Even when the interpretation seems obvious, the cost of an IDFPR or attorney-discipline complaint outweighs the benefit of providing the interpretation.
Practical advice: When clients ask accountants to interpret legal documents, route them to an attorney. 'You should ask your lawyer about that' protects the accountant's license and the client's interests.
